We are excited to have you join our community. These terms of service ("TOS") outline the rules and regulations governing your use of our website, progressive web app, Android application, and related Application Programming Interface (API) (collectively referred to as the "Platform"). By accessing or using the Platform, you agree to be bound by these TOS, along with our Privacy Policy and any additional terms and conditions that may apply. If you do not agree to these TOS, you must not access or use the Platform.

  1. Account Creation and Use

    To use the Platform, you must create an account. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You must immediately notify the support service of any unauthorized use of your account at support@you-files.com.

    • To access specific features on our platform, such as job offers and collaborations, you must create an account and maintain a minimum daily balance of You-Coins. You-Coins can be earned through daily logins or by engaging with the platform via autologin.
    • Users may choose from predefined categories based on their professions during registration.
    • Users are allowed to upload a profile picture while creating or editing their profiles. The image should represent the user themselves and should not contain any offensive material. We reserve the right to remove any content deemed inappropriate.
    • To use certain features on our platform, including job offers and collaborations, you must create an account and earn a minimum number of You-Coins per day. You can earn You-Coins by logging in or opening the app (autologin) daily.
    • You can also purchase additional You-Coins as consumables if needed.
    • Your earned or purchased You-Coins will be stored in your account and can be used to access premium content, exclusive features, or priority customer support.

  2. You-Coin Balance and Expiration

    • Your current You-Coins balance will always be displayed in your account dashboard.
    • You-Coins are non-transferable, cannot be exchanged for cash, and have no monetary value outside the platform.
    • You-Coins will expire after 180 consecutive days of inactivity. To retain your balance, ensure regular usage of the platform or engagement with its features.
  3. You-Coin Usage and Restrictions

    • You can use your earned or purchased You-Coins to access premium content, exclusive resources, or priority customer support.
    • Certain features, such as premium content, advanced filters, or priority listings, may require a specific You-Coins balance to access. Detailed requirements are listed within the respective feature descriptions.
    • You-Coins can also be used to unlock special events, contests, or exclusive promotions.
    • Misuse of You-Coins or attempts to exploit the system may result in forfeiture of your balance and account restrictions.
  4. Using Rewarded Advertisements

    • Users can earn You-Coins by viewing rewarded advertisements offered through the platform.
    • Engagement with rewarded advertisements is entirely optional.
    • Abuse or manipulation of the rewarded advertisement system (e.g., using automated scripts or multiple accounts) will result in forfeiture of earned You-Coins and potential account suspension.
  5. Purchasing and Using Consumables

    • You-Coins can be purchased as consumables directly within the app or platform.
    • Purchased You-Coins are non-refundable, except where required by law.
    • You-Coins purchased through in-app transactions are subject to the terms of the respective app store or payment processor.
    • Consumables can be used to access premium content, exclusive features, or enhanced visibility on the platform.
    • Any unused You-Coins will expire after 180 days, as detailed in the expiration policy.
  6. Refunds and Disputes

    • Refunds for purchased You-Coins are only available in cases of technical errors that prevent usage. Refund requests must be submitted through our support system within 14 days of purchase.
    • If you experience an issue with rewarded advertisements or consumables, contact support at support@you-files.com for assistance.
    • Any decision regarding disputes or refunds is final and at the sole discretion of the platform.
  7. User Profile and Content

    If you upload a profile picture, you represent and warrant that you have the necessary rights to upload the image and that its use in accordance with the TOS will not violate any law or the rights of any person or entity. You agree to promptly remove, or make appropriate changes to, any User Content upon request of any other user whose rights may have been infringed or violated.

  8. Content Ownership and Responsibility

    You retain ownership of any intellectual property rights in the content you submit, post, or display on the Platform ("User Content"). However, by submitting, posting, or displaying User Content, you grant Platform a non-exclusive, worldwide, royalty-free, irrevocable, sub-licensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display your User Content. This license ends when you delete your User Content or your account.

  9. Communication Between Users

    The Platform facilitates communication between registered users through various channels such as private messaging, job offers and collaboration requests. Users shall refrain from:

    • engaging in any activity that constitutes harassment, stalking, spamming, or any unlawful conduct;
    • sharing personal information of others without consent;
    • impersonating another person;
    • engaging in any other conduct that violates applicable laws or these TOS.
  10. Job Offer and Collaboration Requests

    Users can post job offers or request collaborations directed at specific professionals or entire categories of professionals. When posting opportunities, users must describe the job or collaboration accurately and include necessary details such as compensation, duration, and location, if applicable. Users interested in participating in a collaboration opportunity may submit a candidacy. The offering party may review submitted candidacies and decide whether to accept or reject each candidate. If accepted, the parties involved should communicate directly to arrange further details.

    1. Maximum Number of Participants

      For collaboration opportunities, users may set a limit on the maximum number of participants. Once the maximum number is reached, no more candidates may be added. It is the responsibility of the offering party to manage participation limits.

    2. User Conduct Related to Job Offers and Collaborations

      If you offer a job or collaboration opportunity through the Platform, you agree to:

      • Comply with all applicable laws, rules, and regulations related to employment and collaboration;
      • Treat all users with respect and in a professional manner;
      • Provide accurate and complete information about the job or collaboration opportunity, including but not limited to job description, compensation, and requirements;
      • Respect the privacy and security of user data, especially when handling personal information of candidates or collaborators;
      • Not discriminate against any user based on protected characteristics, such as race, color, religion, sex, national origin, age, disability, genetic information, or any other characteristic protected by applicable law.

  11. Prohibited Conduct

    You agree not to engage in any of the following prohibited conduct:

    • Violating any laws or regulations;
    • Infringing the intellectual property rights of others;
    • Using the Platform for any commercial or business purposes, without obtaining a separate written agreement with You-Files.com;
    • Posting or transmitting any unlawful, defamatory, harassing, abusive, fraudulent, or obscene content;
    • Posting or transmitting any content that contains viruses, Trojan horses, worms, or any other malicious code;
    • Impersonating any person or entity, or falsifying information;
    • Accessing or attempting to access any other user's account;
    • Soliciting login information or other personal information from any other user;
    • Engaging in any conduct that restricts or inhibits any other person from using or enjoying the Platform, or that, in our sole discretion, exposes You-Files.com or any of its users to any liability or danger.

  12. Prohibited Activities

    While using the Platform, you agree not to engage in any of the following prohibited activities:

    • Engage in any unlawful activity;
    • Engage in or use the Platform for political, religious or propaganda activites;
    • Use the Platform for any commercial or business purposes unless explicitly authorized by us;
    • Reproduce, duplicate, copy, sell, trade, resell, or exploit any portion of the Platform for any purpose;
    • Access or attempt to access any part of the Platform we have not authorized you to access;
    • Violate the intellectual property rights of any person or entity;
    • Use the Platform in a manner that interferes with its normal operation or functionality.

  13. API Usage

    If you use the Platform API, you must comply with the API Terms of Use, which will be rendered avilable once we open access to the API platform. In any case You agree to promptly notify the support service if you become aware of any unauthorized use of the API or any breach of the Terms of Use at support@you-files.com.

  14. Termination

    Either party may terminate these TOS at any time without notice if the other party is in material breach of these TOS. Upon termination, your right to use the Platform will immediately cease.

    • If your account is terminated due to inactivity or other reasons, any remaining You-Coins will be removed from your account and cannot be redeemed.
  15. Termination and Modification of the platform

    We may suspend, terminate, modify, or discontinue the Platform or any aspect of it at any time without prior notice. Upon such suspension, termination, modification, or discontinuation, your right to access or use the Platform will immediately cease.

  16. Intellectual Property Rights

    All intellectual property rights in the Platform and its contents belong to us or our licensors. You acknowledge that you have no ownership interest in any intellectual property rights related to the Platform.

  17. Disclaimer of Warranties

    YOU USE THE Platform AT YOUR OWN RISK. THE PLATFROM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT AND TITLE. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE Platform WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

  18. Limitation of Liability

    IN NO EVENT SHALL Platform BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF DATA, REVENUE, PROFITS, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TOS OR YOUR USE OF THE Platform, EVEN IF Platform HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN OTHER WORDS UNDER NO CIRCUMSTANCES SHALL WE BE LIABLE FOR DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION, LOST REVENUES OR PROFITS, LOSS OF DATA, OR ANY OTHER COMMERCIAL OR ECONOMIC LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE Platform, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

  19. Governing Law and Arbitration

    These TOS and any dispute arising out of or related to your use of, or inability to use, the Platform shall be governed by and construed in accordance with the laws of Hong Kong Special Amministrative Region, without giving effect to any conflicts of law principles. Any legal suit, action, or proceeding arising out of or related to these TOS and/or the Platform shall be instituted in the courts of the Hong Kong or the courts of the state in which our company has its principal place of business.

  20. Miscellaneous

    Our failure to enforce any provision of these TOS shall not constitute a waiver of our right to enforce such provision subsequently. If any provision of these TOS is found to be invalid, the remaining provisions of these TOS shall continue in full force and effect. These TOS represent the complete agreement between you and us concerning their subject matter, and they supersede all prior communications and agreements ( oral, written, or electronic ) relating to the subject matter.

  21. Entire Agreement

    These TOS, along with our Privacy Policy, constitute the entire agreement between you and Platform concerning the subject matter hereof, and supersede all prior agreements and understandings, whether oral or written.

  22. Changes to the Terms of Service

    We reserve the right to modify these TOS at any time without prior notice. Your continued use of the Platform after any modification to the TOS constitutes your acceptance of the modified TOS. We reserve the right to change, modify, add, or remove portions of these TOS at any time and without prior notice. When changes are made, an updated version of the TOS will be posted on the Platform. Your continued use of the Platform after any revisions to the TOS constitutes your acceptance of those revisions. It is your responsibility to regularly check this page to determine if there have been changes to these TOS and to review such changes.

  23. Customer Support Contact Information

    If you have any questions, concerns, or complaints regarding the Platform or these TOS, please contact our customer support team at support@you-files.com. We will strive to respond within a reasonable timeframe.

  24. Acceptance

    Your continued use of our website, apps, web apps and Platforms will be regarded as acceptance of our practices around privacy, data and information and terms of Platform, including contacting us for enquiry. If you have questions feel free to contact our support or DPO.
